We are pleased to announce that our DPO is now LIVE on our website!
On June 11th, we officially launched our DPO using our Online Investment Tool (OIT), a proprietary software tool that automates the investment process. We also listed our DPO on CuttingEdgeX, the nation’s only listing site for DPOs.
Our DPO offers an unsecured note with a 4% annual interest rate over a term of 5 years. The minimum investment is $1,000. Anyone can see the OIT’s easy-to-use interface on our website, but only California residents are eligible to invest.
On June 11th, The Wall Street Journal ran a feature-length story, “Entrepreneurs Turn to a New Source of Funds: Their Neighbors,” that highlighted how DPOs are central to the “invest local” movement – as a means of capital raising by entrepreneurs and a way to create local investing opportunities for communities. Cutting Edge Capital’s CEO, Jenny Kassan, was quoted as saying that DPOs keep more wealth local than typical arrangements with professional investors or large banks.
On June 5th, Cutting Edge Capital and DPOs were featured in a Bloomberg Businessweek article by small business writer Karen E. Klein. The article, “How to Go Public Without a Stock Exchange,” looks at DPOs from the perspective of two of our clients: Quimper Mercantile (Port Townsend, WA) and Real Pickles (Greenfield, MA). Klein notes that although DPOs bear a likeness to equity-crowdfunding proposed under the JOBS Act, DPOs are legal under existing securities laws.

Jenny Kassan Joins Good Food Web as Expert Advisor

Raising up to $1 Million from Investors in all 50 States

We are often asked whether it’s okay to raise money from multiple sources using multiple strategies at the same time or close in time. The answer to this question depends on several factors. Here are a few pointers:
If you are conducting a Direct Public Offering under the federal exemption known as Rule 504, you are allowed to raise up to $1 million in any 12 month period. In any state where you register the offering, you can do public advertising and accept investment from both accredited and unaccredited investors, once you receive the okay from the state securities regulators. This is often the most important decision you will make as an entrepreneur because the terms you set can have major implications for the direction of your business. If you offer an investment that requires fast growth and the sale of the company for your investors to get paid, for example, you can guess what your investors will be pressuring you to do. […]
